This book is designed to provide law and business school students with the foundations to understand the key stages under which a company acquires another company, and to give them a flavour of the main documents to be found in a typical share acquisition transaction. One of the main features of the book is that it does not limit itself to making examples to explain the application of the rules in practice, but rather follows a fictional scenario with evocatively-named characters who will accompany the reader from the beginning to the end and to whom documents will be specifically tailored. The focus is on Italian law, but comparative reference is made to English law and the laws of other Anglo-American jurisdictions, given their influence in this field. Exploring as it does areas of controversy and points rarely discussed, the book will also be of interest to practitioners and to the academic lawyer looking for a fresh approach to the subject.

Gli autori

Luca Arnaboldi is Adjunct Professor of M&A Law at LIUC University Carlo Cattaneo, Castellanza (Varese). As the Managing Partner of Carnelutti Law Firm and Head of the Corporate Department of the firm’s Milan office, he has assisted leading companies mainly active in the fashion, media and real estate sectors. He is admitted to practise before the Supreme Court of Italy and is the President of the American Chamber of Commerce in Italy.

Federico Modugno is an Associate in the Corporate Department of Carnelutti Law Firm’s Milan office. Prior to joining Carnelutti, he worked in international commercial law firms, gaining experience in both contentious and non-contentious matters. He obtained an LLM in International Financial Law from King’s College London and the GDL and LPC from BPP University, London. He is dual-qualified as an Italian lawyer and Solicitor of England and Wales.
